1. Contracting Parties
This Agreement is entered into between
Supplier: Excellent Machinery Company
168 Fortune Road, Shenkang, Taichung, Taiwan
（hereinafter called "party
A"）, and
Agent: Leo Smith & Sons., Ltd.
1001 Wealth St, Chicago, IL 60601 USA
（hereinafter called "party
B"）
on the basis of equality and mutual benefit to
develop business on terms and conditions mutually agreed upon as follows.
Party A hereby appoints Party B to act as his
selling agent to sell the commodity mentioned below.
2. Commodity
Mini Surface Grinder EM- (specifications as
Appendix)
3. Quantity or Amount
It is mutually agreed that Party B shall undertake
to sell not less than 150 sets of the aforesaid commodity per year in the
duration of this agreement。
4. Territory
U.S.A. only
5. Confirmation of Orders
The quantities, prices and shipments of the
commodities stated in this Agreement shall be confirmed in each transaction,
the particulars of which are to be specified in the Sales Confirmation signed
by the two parties hereto.
6. Payment
After confirmation of the order, Party B shall
arrange to open an irrevocable L/C at sight in favor of Party A. Party B shall
also notify Party A immediately after L /C is opened so that Party A can get
prepared for delivery.
7. Reports on Market Conditions
Party B shall forward once every three months to
party A detailed reports on current market conditions and of consumers'
comments. Meanwhile, Party B shall,from time to time, send to party A samples
of similar commodities offered by other suppliers, together with their prices,
sales information and advertising materials.
8. Advertising & Publicity Expenses
Party B shall bear all expenses for advertising and
publicity within the aforementioned territory in the duration of this Agreement
and submit to Party A all patterns and/or drawings and description for prior
approval.
9. Validity of Agreement
This Agreement, after its being signed by the
parties concerned, shall remain in force for 2 years and will be extended for
another 12 months upon expiration unless notice in writing is given to the
contrary. The contract can be modified, even terminated at any time if both
parties agree in a written form. Should either party fail to implement the
terms and conditions herein, the other party is entitled to terminate this
Agreement.
10. Arbitration
All disputes arising from the execution of this
Agreement shall be settled through friendly consultations. In case no
settlement can be reached, the case in dispute shall then be submitted to the
The American Arbitration
Association in New York for arbitration in accordance with its provisional rules of procedure.The decision made by this Commission shall be regarded as final and
binding upon both parties. Arbitration fees shall be borne by the losing party unless
otherwise awarded.
11. Other Terms & Conditions
Party A
shall not supply the contracted commodity to any other buyer(s) in the above
mentioned territory. Direct inquiries, if any, will be referred to Party B.

為了在平等互惠之基礎上發展業務，供應商（以下簡稱“甲方”）與代理商（以下簡稱“乙方”）依以下條件簽訂本合約:
甲方委託乙方為以下產品之銷售代理人。
2. 商品名稱
迷你平面磨床型號EM- (規格如附件1)
3. 數量或金額
雙方約定，乙方在合約有效期內， 每年銷售不少於150台商品。
4. Territory經銷地區
限在美國。
5.訂單之確認
本合約所規定之商品數量、價格及裝運條件等，應在每筆交易中確認，其細目應在雙方簽訂之銷售合約書中作出規定。
6. 付款
訂單確認之後，乙方須開立以甲方為受益人之不可撤銷之即期信用狀。乙方開出信用狀後，應立即通知甲方，以便甲方準備出貨。
7. 市場情況報告
乙方每3個月向甲方提供一次有關當時市場情況和用戶意見之詳細報告。同時，乙方應隨時向甲方提供其他供應商之類似商品樣品及其價格、銷售情況和廣告資料。
8. 宣傳廣告費用
在本合約有效期內，乙方在上述經銷地區所作廣告宣傳之一切費用，由乙方自理。乙方須事先向甲方提供宣傳廣告之圖案及文字說明，由甲方審閱同意。
9.合約有效期
本合約經雙方簽字後生效，有效期為2年。除非書面通知終止，否則將自動延長12個月。若雙方書面形式同意，得於任何時候修改或終止合約。若合約一方未履行合約條款，另一方有權終止合約。
10.仲裁
在履行合約過程中，如產生爭議，雙方應友好協商解決。若通過友好協商達不成合約，則提交紐約美國仲裁協會，根據該會仲裁程序規定進行仲裁。該委員會之決定為最終，對雙方均具有約束力。仲裁費用，除另有規定外，由敗訴一方負擔。
11.其他條款
甲方不得向經銷地區其他買主供應本合約所規定之商品。如有詢價，當轉達給乙方洽辦。
本合約於**年*月*日在**簽訂，正本兩份，甲乙雙方各執一份。
